The Plenary of the Hellenic Competition Commission (HCC), by its Decision no 833/2023 adopted on the 6th of December 2023, unanimously approved, pursuant to Art. 8(3) of Greek Law 3959/2011, the notified concentration concerning the acquisition by the company under the name “MYTILINEOS S.A.” of the entire share capital of the company under the name “ EFA Energeiaki S.A.”, as the notified concentration, although falling within the scope of article 6(1) of the Greek Law 3959/2011, does not raise serious doubts as to its compatibility with competition rules in the markets concerned.
The above concentration will bring about a change in the control of EFA Energeiaki S.A., as MYTILINEOS will acquire sole control over the target company.
MYTILINEOS S.A. is mainly active in the sectors for metallurgy, sustainable development projects, renewable energy projects and energy storage, as well as in the electricity and natural gas sectors. Τhe objective of EFA Energeiaki S.A. is, among others, the supply of natural gas, the trading of liquid and gaseous fuel, the supply of electricity and the exploitation of fueling stations. Nevertheless, it is active exclusively in the retail supply of natural gas to final consumers (households and undertakings). By way of consequence, the concentration concerns the market for wholesale supply and trading of natural gas and the market for retail supply of natural gas in Greece.
By its decision, the HCC, concluded that the concentration is not expected to affect the competitive conditions in any of the relevant markets concerned. Therefore, whereas the concentration falls within the scope of article 6(1) of Greek Law 3959/2011, the HCC, by its decision, concluded that it does not raise serious concerns as to its compatibility with competition rules in the relevant markets it concerns.
