Summary of Decision |
On September 24th, 2014, a merger was notified to the HCC (pursuant to article 6 par. 6 of L. 3959/2011), of a transaction consisting in the acquisition of “PAYZONE HELLAS S.A.”by the company “OPAP S.A.”, through the company “OPAP Investment Limited”, which is a wholly owned subsidiary of OPAP S.A. As relevant markets for the purposes of the merger ςere considered those where PAYZONE isactive and in particular the markets for the distribution and resale of rechargeable telephone card services, in relation to prepaid mobile services, the distribution and resale of passwords/codes for online shopping with coupons and internetpayment of Public Utility Services and Telephone Bills. In its decision, the Commission considered that the companies participating in the concentration and the companies controlled by them are not active in the same relevant service markets. Although the notified merger falls within the scope of application of par. 1 of article 6 of L. 3959/2011, it does not raise serious doubts as to its compatibility with the competition rules in the relevant markets concerned. The competent Chamber of the HCC, unanimously approves, pursuant to article 8 par. 3 of L. 3959/2011, the concentration notified on 24.9.2013, resulting from the acquisition of sole control of the company “PAYZONE Hellas S.A.” by the company“OPAP S.A.”, through its wholly owned subsidiary “OPAP Investment Limited”. |
